1. About These Terms
These Terms of Service (“Terms”) govern use of the Jen Clark Design website (jenclarkdesign.com.au) and the engagement of Jen Clark Design (“JCD”, “we”, “us”, “our”) for branding, graphic design, web design and digital strategy services (the “Services”). By using this website or engaging our Services, you (“Client”, “you”) agree to these Terms. Where JCD issues a signed proposal, scope of work or service agreement for a specific project, that document prevails over these Terms to the extent of any inconsistency.
2. Website Use
Content on this website — text, images, design work and branding — is the intellectual property of Jen Clark Design or its licensors unless otherwise stated, and may not be reproduced without prior written consent. Information on this website is general in nature and does not constitute professional advice specific to your circumstances.
3. Quotes & Proposals
Quotes are estimates based on information supplied at the time and are valid for 30 days unless stated otherwise. A formal proposal or agreement setting out scope, timeline and fees will be issued before work commences.
4. Payment Terms
Payment schedules are confirmed in each Client's individual proposal, but unless otherwise agreed in writing, JCD's standard structure is:
50% deposit payable on commencement of work.
25% payable on supply of the first full draft or creative concept.
25% balance payable prior to handover of final print, digital and/or native artwork files, following the Client's sign-off.
For smaller projects, a simpler two-part structure (deposit on commencement, balance on completion) may apply instead — the applicable structure will be set out in the proposal. All deposits are non-refundable once work has commenced (see Section 6). Invoices are payable within 7 days of issue unless the proposal states otherwise. Late payment may incur interest and/or suspension of work at JCD's discretion. All fees are quoted in AUD and are exclusive of GST unless stated otherwise. Quotes are valid for 30 days from the date of issue.
5. Scope Changes & Revisions
Each project includes an agreed number of revision rounds as set out in the proposal (typically up to three structured rounds). Requests outside the original scope — additional concepts, new deliverables, or a substantial change in direction — will only proceed with the Client's express prior approval, and will be quoted separately, typically at $150.00 plus GST per hour or part thereof (or as a fixed additional fee), and may affect the project timeline.
6. Cancellation
If a Client cancels a project after work has commenced, the deposit is non-refundable and JCD will invoice for work completed to date on a pro-rata or time-spent basis. JCD may pause or terminate a project where a Client is unresponsive for more than 30 days, or where payment is overdue.
7. Intellectual Property & Ownership
Concepts, drafts and working files remain the property of Jen Clark Design until the project is paid in full. On full payment, JCD grants the Client the right to use all final, agreed artwork and digital assets created for the project for any future purpose the Client sees fit. JCD retains the right to display completed work in its portfolio and marketing materials unless the Client requests confidentiality in writing.
8. Third-Party Costs
Costs such as stock imagery, fonts, domain registration, hosting or print production are separate from design fees and will be quoted or invoiced as incurred, unless included in the agreed proposal.
9. Confidentiality
Both parties agree to keep confidential any non-public business information shared during the engagement, except where disclosure is required by law.
10. Limitation of Liability
To the extent permitted by law, JCD's liability for any claim arising from the Services is limited to the amount paid by the Client for the Services giving rise to the claim. JCD is not liable for indirect, incidental or consequential loss, including loss of profits, data or business opportunity. Nothing in these Terms excludes any guarantee, right or remedy that cannot lawfully be excluded under the Australian Consumer Law.
11. Governing Law & Disputes
These Terms are governed by the laws of Victoria, Australia. Any dispute will first be addressed through good-faith negotiation between the parties before either party takes formal legal action, and the parties submit to the exclusive jurisdiction of the courts of Victoria.
12. Changes to These Terms
We may update these Terms from time to time. The “last updated” date at the top of this page reflects the most recent version. Continued use of the website or Services after changes constitutes acceptance of the updated Terms.
